Bylaws of District #6
Rochester, NY
The Sixth District of the New York State of Anesthesiologists will be governed by, and interact to conform to, the constitution and bylaws of the New York State Society of Anesthesiologists in all respects that are applicable to this Sixth District. In addition, the Sixth District will be governed by the following local by-laws:
Chapter I. PURPOSE
It shall be the purpose of this society to associate and affiliate all reputable physicians practicing the specialty of anesthesiology in the geographic area of District VI of the New York State Society of Anesthesiologists, Inc. (hereinafter abbreviated NYSSA) in order to carry on the purposes of NYSSA as they pertain to District VI.
Chapter II. MEMBERSHIP
| Section 2.01 |
The members of District VI shall be those members of the NYSSA whose primary practice is in the area west of District 5 and east of a north-south line passing through Millville, Shelby and Ceres (Headquarters-Rochester). |
| Section 2.02 |
The members shall be designated honorary, active, affiliate, retired or resident, corresponding to their designation in the NYSSA. |
Chapter III. OFFICERS AND DELEGATES
| Section 3.01 |
The composition of executive officers of the District, and terms of office will be as follows:
President
President Elect
Vice President
Secretary-Treasurer
District Director of the NYSSA

| Section 3.02 |
The President and President Elect shall serve for a term of one year. The Vice President and the Secretary-Treasurer shall serve for a term of two years, and shall be elected in alternate years. They may be elected to more than one term. |
| Section 3.03 |
If the office of President is vacated during his/her term of office his/her duties will be assumed by the Vice President. |
| Section 3.04 |
If the Vice President is unable to assume the duties of the President as provided above, a special election shall be held to elect a new President for the unexpired term. |
| Section 3.05 |
The Director, Delegates, Alternate Director and Alternate Delegates shall be elected at the annual meeting for terms as prescribed in the NYSSA bylaws. |
| Section 3.06 |
Election of officers and delegates shall be by secret ballot. The person receiving the highest vote by the active members in good standing present at the annual meeting will fill the office (a majority is not required). |
Chapter IV. DUTIES OF OFFICERS
| Section 4.01 |
The administrative authority of District VI shall be vested in the President.

He/she shall preside at all meetings. |

He/she shall call special meetings as required. |
| c. |
He/she shall appoint such committees as he/she shall deem necessary or as shall be requested by a majority of the active members at a meeting. |

| Section 4.02 |
The Vice President shall assist, substitute for or assume such obligations as are necessary at the discretion of or in the absence of the President. |
| Section 4.03 |
The Secretary-Treasurer shall assume such duties as are consistent with this office, in addition to the supervision and handling of secretarial material, perform such other duties as are required by this constitution and bylaws of the NYSSA. |
Chapter V. DUTIES OF DIRECTOR, DELEGATES AND ALTERNATES TO NYSSA
| Section 5.01 |
The District Director and alternate director to the NYSSA shall function as prescribed in the bylaws of the NYSSA representing the interests of the membership of District VI to the best of their ability. |
| Section 5.02 |
The delegates and alternate delegates to the NYSSA shall function as prescribed in the bylaws of the NYSSA representing the interests of the membership of District VI to the best of their ability except that when instructed by a majority vote at the annual meeting of the District on a given issue they must vote in the House of Delegates as instructed. |
Chapter VI. MEETINGS
| Section 6.01 |
The annual meeting and election of officers will be held between November first and January fifteenth of each year. Nominations will be made at the time of the annual meeting, and elections will be by majority vote of the members present. A nominating committee is appointed by the President prior to the annual meeting. |
| Section 6.02 |
Regular meetings, minimum two and maximum four in number, shall be held annually. Such meetings shall consist of business and scientific sessions as indicated by the President. |
| Section 6.03 |
In addition to the regular meetings, additional meetings may be called by the President at his/her discretion or as provided below. |
| Section 6.04 |
A special meeting shall be called by the President within one month of a petition requesting said meeting signed by at least fifteen active members in good standing. |
| Section 6.05 |
Notification of any special meeting shall be sent in writing to all members of District VI at least ten days in advance of the meeting. |
Chapter VII. ASSESSMENTS
| Section 7.01 |
With approval of a majority vote of the active members in good standing present at an annual or special meeting an assessment may be levied on all members of District VI, except honorary and retired members, to defray expenses of the District. |
| Section 7.02 |
Upon failure to pay a duly levied assessment within a one-year period, a member will be suspended by order of the President. |
Chapter VIII. AMENDMENTS
These bylaws may be amended at any regular meeting of District VI or at a special session called for that purpose by a majority vote of the membership present as follows:
| Section 8.01 |
First Reading. Proposed amendments may be introduced for a first reading by any voting member of District VI or by any committee of the Society by way of its report. |
| Section 8.02 |
Alterations. The membership may alter the proposed amendment in any manner by a majority vote of those present and voting and the final form shall constitute the amendment approved. |
| Section 8.03 |
Publication. Amendments approved for a first reading shall be published at least fourteen days prior to the next regular session or prior to a special session called for that purpose. |
| Section 8.04 |
Action. The proposed amendment shall be introduced for final action at the first regular session following the first reading or at a special session called for that purpose. |
| Section 8.05 |
Additional Alterations. The membership may alter the form of the first reading in any manner not exceeding the original intent by a majority vote of those present and voting. |
| Section 8.06 |
Vote. A two-thirds majority vote of those present and voting is necessary to amend these bylaws. |
Chapter IX. STANDING COMMITTEES
| Section 9.01 |
The executive committee shall consist of:
President President Elect Immediate Past President
Vice President
Secretary-Treasurer
District VI Director of the NYSSA
This committee shall meet at the call of the President and shall have the authority to act in the interim between District meetings upon all matters which would ordinarily require approval of the membership and which have not been delegated elsewhere by the constitution and laws.
Decisions by the Executive Committee will not be binding to the District Society unless approved by the majority members.

| Section 9.02 |
The District Director will serve as the Government and Legal Affairs liaison. He/she will function on a local level, study and recommend ways in which the District can be most effective in legislative matters, develop ways of making the entire District membership more aware of legislative affairs and their significance, and to help in organizing a legislative action system in District VI. |
Chapter X. RULES OF ORDER
The deliberations of District VI shall be governed by parliamentary usage as contained in the latest edition of Demeter’s Manual of Parliamentary Law and Procedure when not in conflict with this constitution and bylaws.
