BYLAWS

Introduction:

District 7 of the NYSSA shall be governed by the Bylaws of the New York State Society of Anesthesiologists.

Membership:

  1. Membership shall be restricted to members of the NYSSA whose practice is within the geographic area of the District.
  2. Categories of membership shall correspond to those of the NYSSA (active, resident, retired, affiliate).

Officers:

  1. The officers shall be President, Vice President, Secretary, Treasurer, Director and Alternate Director.  The President, Vice President, Secretary and Treasurer shall serve for 2 years.  No one may serve more than 3 terms in a particular office, except for the Treasurer.  The Director and Alternate Director shall serve according to the bylaws of the NYSSA.  The terms of office and term limits of the Director and Alternate Director shall be in accordance with the Bylaws of the NYSSA.
  2. Delegates and Alternate Delegates to the NYSSA House of Delegates shall be elected for two-year terms, in accordance with the Bylaws of the NYSSA and shall not serve for more than five consecutive terms.  The number of positions available for the House of Delegates will be determined by the Bylaws of the NYSSA and adjusted accordingly, based on overall membership within the District.  The District Director ex-officio serves as a voting member of the House of Delegates and shall not be considered in the total number of Delegates representing the District.
  3. The Executive Committee shall consist of the President, Vice President, Secretary, Treasurer, Director and Alternate Director.  Decisions of the Executive Committee shall not be binding on the District until approved by a majority of district embers in attendance at the next announced meeting of the District.
  4. Officers, Delegates and Alternate Delegates shall be elected from active members in good standing.  Nominations for any office may be received from a nominating committee and from any member in good standing.
  5. Should the office of President be vacated during the term of office, the Vice President shall assume his/her duties.  The residual of the vacated term shall not count as a term of presidential office.
  6. Should the office of Director be vacated during the term of office, the Alternate Director shall assume his/her duties.  The residual of the vacated term shall not count as a term of office.
  7. If vacancies occur in any of the other offices, the Executive Committee of the District shall appoint a temporary replacement for the unexpired term of office.  The residual of the vacated term shall not count as a term of office.
  8. Election of officers will occur at the annual business meeting of the District.  If there is any contested election, then voting shall be by secret ballot.  Terms of office will begin on January 1st of the year immediately following the business meeting.
  9. The annual business meeting shall occur during the last quarter of the calendar year, prior to the PGA.  A quorum shall consist of at least 10 active members (either present or by proxy).
 Duties of Officers:
  1. The administrative authority of District 7 shall be vested in the President and Director of the District.  The Vice President and Alternate Director shall assist as necessary.
  2. The Secretary and Treasurer shall perform duties consistent with these offices, and as outlined by the Bylaws of the NYSSA.  They will provide information to the NYSSA Administrative offices as requested, and provide information to the District members as needed.
  3. Delegates and Alternate Delegates shall represent the interests of the District to the best of their ability at the annual meeting of the House of Delegates.  It is their responsibility to notify the District Director if they are unable to attend the House of Delegates meeting.
  4. The Treasurer shall report annually at the business meeting on the financial state of the District.  He/she will also present recommendations on any changes to the annual District dues.

District Activities:

1.     In addition to the annual business meeting, the District shall conduct at least one educational meeting, either alone or in conjunction with the Department of Anesthesiology at SUNY at Buffalo School of Medicine.

2.     The Executive Committee shall keep District members aware via e-mail communications of urgent political and economic issues.

Dues:

1.  Annual district dues shall be discussed at the Business meeting.  Any decisions regarding change in dues shall occur by voting at that meeting. 


These bylaws were adopted by the members of District 7 at a meeting held on December 4, 2007.
